Energy Capital Partners (ECP) and co-investors to acquire Atlantica Sustainable Infrastructure.
Deal valued at approximately $2.5 billion.
Atlantica shareholders to receive $26.00 per share in cash.
Energy Capital Partners (ECP), a leading private equity firm, along with a group of co-investors, has entered into a definitive agreement to acquire Atlantica Sustainable Infrastructure plc in a transaction valued at approximately $2.5 billion. Under the terms of the agreement, Atlantica shareholders will receive $26.00 per share in cash.
The acquisition underscores ECP’s strategic focus on investing in sustainable infrastructure and renewable energy assets. With this transaction, ECP aims to leverage its expertise and resources to further enhance Atlantica’s portfolio and support its long-term growth objectives.
“We are excited to partner with Atlantica and support its continued growth in the sustainable infrastructure sector,” said Doug Kimmelman, Senior Partner and Founder of ECP. “This acquisition aligns with our commitment to investing in companies that drive the transition to a more sustainable future.“
The agreement has been unanimously approved by Atlantica’s Board of Directors. The transaction is expected to close in the second half of 2024, subject to customary closing conditions, including approval by Atlantica’s shareholders and regulatory approvals.
“We believe this transaction delivers significant value to our shareholders while positioning Atlantica for continued success under ECP’s ownership,” said Santiago Seage, CEO of Atlantica. “ECP’s deep industry knowledge and financial strength make them an ideal partner for Atlantica as we continue to advance our mission of providing sustainable infrastructure solutions.“
Atlantica Sustainable Infrastructure, headquartered in London, owns and manages renewable energy, efficient natural gas, and water infrastructure assets globally. The company has a diversified portfolio, including solar, wind, and natural gas power plants, as well as transmission lines and water assets.
The acquisition by ECP is expected to provide Atlantica with additional resources and support to expand its renewable energy footprint and enhance its operational capabilities. The transaction represents a significant step in ECP’s strategy to invest in and support the growth of sustainable infrastructure assets.
